Nada Litwin is a corporate attorney with more than 20 years of experience advising operating companies, private equity firms, portfolio companies and executive leadership teams on complex transactions and strategic business initiatives. Her practice is concentrated in private equity, mergers and acquisitions and general corporate and corporate governance matters.
Nada advises on acquisitions, divestitures, recapitalizations, growth equity investments and debt and equity financings, working closely with investment professionals and management teams to drive efficient, well-structured outcomes. Her approach combines technical precision with a practical understanding of how legal decisions impact value creation, risk allocation, and long-term business objectives.
A significant component of Nada’s practice involves partnering directly with executives and founders on employment and equity matters. She regularly advises on executive onboarding, employment agreements, separation arrangements, restrictive covenants, incentive compensation structures, rollover equity, and management incentive plans. She works closely with leadership teams to ensure that equity and compensation frameworks align incentives, protect the enterprise and support successful integration and performance across companies.
Throughout her career, Nada has built a reputation for being a strategic, business-oriented advisor who balances legal risk with commercial realities. She is known for her ability to simplify complex issues, anticipate challenges and serve as a steady partner to individuals and companies navigating transformative transactions.
Previously, Nada served as General Counsel to Kinzie Capital Partners LP, where she continues to serve as outside General Counsel. Prior to that, Nada was a partner in the Corporate, Securities and Investment Management group at Fox, Swibel, Levin & Carroll LLP, and an associate in the Corporate & Securities group at Skadden, Arps, Slate, Meagher & Flom LLP.
Nada earned a B.B.A. with high distinction from the University of Michigan Business School and her J.D., magna cum laude, from the University of Michigan Law School, where she was selected to the Order of the Coif.
